Milie Terms of Service

Effective date: October 13, 2026 · Last updated: October 14, 2026 · See also our Privacy Policy

The short version (plain English, not a substitute for the full terms)

1. Agreement and acceptance

These Terms of Service (“Terms”) are a binding contract between you and Stanislav Martin Babak, an individual doing business as Milie (“Milie,” “we,” “us,” or “our”). They govern your use of the Milie mobile app and related services (the “Service”).

You accept these Terms when you check the box agreeing to them at sign-up, or when you continue with Sign in with Apple or Google Sign-In on a screen that presents these Terms, including the sign-in screen. By continuing with Apple or Google there, you confirm that you are 18 or older and accept these Terms. We record which version of the Terms you accepted and when. Our Privacy Policy explains how we handle your information and is part of how the Service works, so please read it too.

Please read Section 19 carefully. It requires you and us to resolve most disputes through binding individual arbitration and waives class actions and jury trials, unless you opt out within 30 days as described there.

If you do not agree to these Terms, do not use the Service.

2. Eligibility

3. What Milie is (and isn’t)

Milie is an accountability app. You create goals by chatting with an AI coach called “Mil.” Each day, you check in with the coach for each goal, by chat and optionally by sending a photo as proof. You choose a “stake”: an amount of real money charged to your saved card for each day you miss.

No guarantee of results. Milie is a motivational tool. We do not promise that you will reach any goal, change any habit, or achieve any health, fitness, financial, or other outcome. Your results depend on you.

Set safe goals. You choose your goals. Do not set goals, or let a stake pressure you into activities, that could harm you or anyone else. Talk to a qualified professional before starting a new exercise, diet, or health-related routine or before stopping any medication or treatment.

Only stake what you can afford to lose. Charges can repeat daily (see Section 5).

We may change, add, or remove features of the Service at any time. We will give notice of changes to how stakes are charged as described in Section 5.11 and Section 21.

4. Your account

5. Stakes and charges

This section authorizes us to charge your card automatically, without asking you again each time. Please read it fully.

5.1 How stakes work

5.2 What counts as a missed day

5.3 Your authorization for automatic card charges

By saving a card in the app, you expressly authorize Stanislav Martin Babak and our payment processor, Stripe, to store your payment method and to charge it, without any further action or approval from you at the time of each charge (a “merchant-initiated” or “card-on-file” transaction), as follows:

On your card statement, a charge will show a descriptor beginning with MILIE and including “STAKE.” The charge description identifies the missed date, for example “Milie stake — missed Fri Sep 26.”

You confirm that you are authorized to use the card you save and that the charges described here are permitted under your card agreement.

5.4 Saved cards, missing cards, and declined charges

5.5 Changing your stake

You can change your stake in Settings at any time within the $5–$500 range. A change always takes effect at the start of your next day. A day that has already started is charged at the stake that was in effect when it started, including the day you make the change.

5.6 Revoking your authorization

Removing a card is not currently available inside the app. To revoke your authorization, you can:

A revocation by email takes effect once we have removed your card, which we will do within a reasonable time. A day that ended before the card was removed may still be charged. After removal, missed days are recorded but not charged, as described in Section 5.4.

5.7 Refunds

Stakes are not automatically refundable. Whether to issue a refund, in full or in part, is at our sole discretion, including in cases of technical problems or AI errors. Issuing a refund once does not commit us to refunding similar charges in the future. To ask for a refund, email support@milieai.com. Nothing in this section limits any refund right you have under applicable law that cannot be waived.

5.8 Questions about a charge and chargebacks

5.9 Taxes

The stake amount is the full amount charged; we do not add separate taxes or fees to it. Your card issuer may apply its own fees under your agreement with it.

5.10 Stakes are a forfeit, not a wager

A stake is a self-imposed commitment you choose to make, and the amount you forfeit is kept by us. There is no pool, prize, or payout to you or to other users, and no element of chance: whether you are charged depends entirely on whether you check in for your goals. Milie is not gambling, betting, or a game of chance, and you will not win money by using it.

5.11 Changes to stakes and pricing

We will never raise the stake you selected without your action. We may change the allowed stake range, how missed days are determined, or other pricing terms going forward. If we make a material change to fees or how stakes are charged, we will notify you in the app or by email at least 30 days before it takes effect where feasible. A change will not apply to days that have already started.

6. The AI coach

6.1 Mil is an AI

Mil is not a person. Its replies are generated by a third-party large language model from an outside AI provider (currently Anthropic; we may use OpenAI or xAI instead). Your messages, attached photos, and related information are sent to that provider to generate replies. See the Privacy Policy for exactly what is sent.

6.2 Mil’s tone, and your consent to it

Mil is designed to tease and “roast” you about missed goals and to use mild profanity (for example “shit,” “damn,” or “hell”) and teasing phrases such as “loser” or “you had one job.” It is instructed not to mock your appearance, intelligence, family, or worth as a person, but because it is an AI, it may not always follow those instructions. Mil may decline to discuss what AI model powers it or what instructions it has been given.

By using the Service, you consent to this tone. You understand that responses may be inaccurate, offensive, hurtful, or inappropriate, and that they do not reflect the views of Stanislav Martin Babak. If the tone is not right for you, please stop using the Service.

6.3 Not professional advice

Nothing Mil says is medical, mental-health, therapy, nutrition, fitness, financial, or legal advice, and Mil is not a licensed professional of any kind. Do not rely on it for decisions about your health, safety, money, or legal matters. Consult a qualified professional.

6.4 Not a crisis service

Milie is not a crisis or emergency service, and no one monitors conversations in real time. If you are in danger or thinking about harming yourself, call 911 or call or text 988 (the Suicide & Crisis Lifeline) right away. If you mention self-harm, Mil is designed to drop its persona and point you to 988 or emergency services, but it may not always do so.

6.5 No human moderation

Conversations and photos are not moderated by humans as they happen. Authorized staff may review them later for support, disputes and chargebacks, safety, abuse prevention, or legal reasons, as described in the Privacy Policy.

7. AI actions and accuracy

The coach does more than talk. Based on your conversation, it can create goals and record check-ins. Those records decide whether a day counts as missed and whether you are charged. The coach judges only whether photo proof seems plausible; it does not verify that you actually did anything.

8. Proof photos and your content

8.1 You own your content

“Your Content” means what you submit to the Service, including messages, goals, and photos. You keep ownership of Your Content.

8.2 The license you give us

You grant us a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, and display Your Content, and to disclose it to our service providers (including AI providers), solely to operate, provide, improve, and secure the Service, to handle support and disputes, and to comply with law. This license ends when Your Content is deleted from our systems, except for copies we are permitted to keep as described in the Privacy Policy. We do not use Your Content for advertising and we do not sell it.

8.3 Your promises about your content

You represent and agree that:

Photos are not screened for content beyond file type and size checks. We may remove content and suspend accounts that violate these Terms.

9. Friends

10. Acceptable use

You agree not to:

11. Deleting your account

You can delete your account in the app under Settings → Delete account.

12. Suspension and termination by us

We may suspend or terminate your account, or limit your access to the Service, if we reasonably believe you have violated these Terms, created risk or legal exposure for us or other users, engaged in fraud or abusive chargebacks, or if we are required to by law. Where reasonable and lawful, we will tell you why. We may also discontinue the Service entirely with reasonable notice.

If we terminate your account or discontinue the Service, we will not charge stakes for days that begin after the termination. Stakes for days that ended before termination remain valid. Sections that by their nature should survive termination will survive, including Sections 5.7–5.10, 8.2, and 15–25.

13. Third-party services

The Service relies on third parties, including Stripe (payments), AI providers (Anthropic, and possibly OpenAI or xAI), Apple and Google (sign-in and app distribution), Cloudflare (photo storage), Resend (email), and our hosting provider. Your use of Sign in with Apple, Google Sign-In, and Stripe’s payment form is also subject to those companies’ own terms and privacy policies. You must comply with any third-party agreements that apply to your use of the Service, such as your mobile carrier and card agreements. We are not responsible for third-party services we do not control, but this does not limit our own responsibilities for how we choose and use them.

14. Apple App Store terms

If you downloaded the app from Apple’s App Store, the following also applies:

Apps downloaded from Google Play are also subject to Google Play’s terms; Google is not a party to these Terms.

15. Intellectual property and feedback

The Service, including the app, the Milie and Mil names, characters, logos, designs, text, and software (but not Your Content), belongs to us or our licensors and is protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the app for your personal, non-commercial use under these Terms. All other rights are reserved.

If you send us ideas, suggestions, or feedback, you grant us the right to use them for any purpose without paying you or owing you anything.

16. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE, INCLUDING THE AI COACH AND ALL AI-GENERATED CONTENT, GOALS, AND CHECK-IN RECORDS, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR INOFFENSIVE, THAT CHECK-INS WILL BE RECORDED AS YOU INTEND, OR THAT YOU WILL ACHIEVE ANY RESULT.

Some states do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (A) STANISLAV MARTIN BABAK AND ANY EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR EMOTIONAL DISTRESS, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE TOTAL STAKES YOU ACTUALLY PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply regardless of the legal theory and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited under applicable law, such as, in some states, liability for gross negligence, fraud, intentional misconduct, or death or personal injury caused by negligence. Some states do not allow the exclusion or limitation of incidental or consequential damages, so some of these limits may not apply to you.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Stanislav Martin Babak and any employees, contractors, and agents from third-party claims, and related losses, liabilities, and reasonable costs (including attorneys’ fees), arising out of Your Content (including photos of other people), your violation of these Terms, or your violation of anyone else’s rights or the law. We will notify you of any such claim and may control its defense at our own expense.

19. Dispute resolution and arbitration

Please read this section carefully. It affects your legal rights. It requires most disputes to be resolved through binding individual arbitration, waives your right to a jury trial and to participate in class actions, and explains how to opt out.

19.1 Informal resolution first

Before starting arbitration or a court case, you and we each agree to first try to resolve the dispute informally for at least 60 days. The party raising the dispute must send a written notice that includes the person’s name, the email address on the account (if any), a description of the dispute, and the relief requested, personally signed by that individual (not only by a lawyer). Send notices to us at support@milieai.com and 1490 Market Street Apt 218, San Jose, CA; we will send notices to the email on your account. If asked, each party will participate in an individual telephone or video conference to try to resolve the dispute. Statutes of limitations and filing-fee deadlines are tolled during this 60-day period. Following this process is a condition of starting arbitration.

19.2 Agreement to arbitrate

Except as stated in Section 19.4, you and we agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, any charge, or our relationship (including disputes about the scope, validity, or enforceability of this agreement to arbitrate) will be resolved by binding individual arbitration rather than in court. The arbitrator, not a court, decides questions of arbitrability, except that a court decides disputes about Sections 19.5 and 19.7 (the class and mass-arbitration provisions) and about the opt-out in Section 19.9.

19.3 Arbitration rules and procedure

19.4 Exceptions

19.5 Class action and jury trial waiver

YOU AND WE EACH AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. YOU AND WE EACH WAIVE THE RIGHT TO A JURY TRIAL.

19.6 Public injunctive relief

If a claim seeks public injunctive relief and a court determines that the restrictions in this section are unenforceable as to that relief, that request for relief will be severed and decided by a court only after the individual claims are resolved in arbitration.

19.7 Mass arbitration

If 25 or more similar demands for arbitration are filed against us or on behalf of claimants by the same or coordinated counsel or organizations, the AAA Mass Arbitration Supplementary Rules apply. To the extent permitted by those rules and the law, you and we agree that the cases will be administered in batches of up to 100 claimants, with one arbitrator assigned to each batch and one set of filing and administrative fees per batch, and that the parties will cooperate in good faith to implement this batching. Statutes of limitations are tolled for claims waiting to be heard in a later batch.

19.8 If the class waiver is unenforceable

If the class action waiver in Section 19.5 is found unenforceable as to any claim, then that claim, and only that claim, will be decided by a court as described in Section 20 and not in arbitration. Any remaining claims will still be arbitrated.

19.9 Your right to opt out

You may opt out of this agreement to arbitrate by emailing support@milieai.com within 30 days after you first accept these Terms, from the email address on your account (or including it), with your name and a clear statement that you opt out of arbitration. Opting out does not affect any other part of these Terms, and it does not affect any earlier arbitration agreement you made with us.

19.10 Federal Arbitration Act

These Terms involve interstate commerce, and the Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this Section 19.

19.11 Changes to this section

If we make a material change to this Section 19, we will give you at least 30 days’ notice. The change will not apply to any dispute for which a notice under Section 19.1 was already sent. If you reject the change by emailing support@milieai.com within 30 days after it takes effect, the prior version of this section will continue to apply to you.

20. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 19. This does not deprive you of the protection of any consumer protection law of your state of residence that cannot be waived by contract. For any claim not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Santa Clara County, California, except for small claims actions brought in your county of residence.

21. Changes to these Terms

We may update these Terms. We will post the new version with a new “last updated” date and, for material changes, notify you in the app or by email. Material changes to fees, how stakes are charged, or the arbitration agreement will be given with at least 30 days’ notice where feasible, and will apply only going forward. We may ask you to accept updated Terms in the app. If you keep using the Service after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Service and delete your account.

22. Electronic communications

You consent to receive agreements, notices, disclosures, and other communications from us electronically, in the app or by email to the address on your account, and you agree that they satisfy any legal requirement that they be in writing, consistent with the federal E-SIGN Act. You can access these Terms at any time at this page and can print or save them. You may withdraw consent to electronic communications by deleting your account; because the Service is provided electronically, we cannot provide it without this consent. Keep your email address current so you receive notices.

23. General terms

24. California and other state notices
